The main role of the Chairman are as follows:
The secretary of the board of directors has overall responsibility to create and maintain corporate records and other important corporation documents. Included in this responsibility:
- Record minutes of all board meetings and minutes of all committees as needed.
- Minutes must be taken in a specific form and all board and committee actions must be recorded.
- Keep records of all policies approved by the board.
- Maintain a calendar of events, including the date of the annual meeting and budget approval dates.
- Maintain personnel and payroll records for executive employees reporting directly to the board of directors.
- Keep all records in a safe place and make sure all documents are in good order in case of audits.
Duties and Responsibilities of the Business Development Director:
- The Secretary provides the Council and Executive Board with notices of meeting times and places and requests contributions of items for the agenda.
- The Secretary, in consultation with the President, prepares agendas for the Executive Board and Council meetings. These agendas, along with any supporting documentation, are distributed by the Secretary to members in advance of the meetings.
- Immediately after Executive Board and Council meetings the Secretary prepares a summary of their actions that is distributed to all Council members and to the Editor of the Announcer. There is nearly always a very short press deadline for the material to reach the Announcer editor.
- The Secretary prepares full minutes of the Council, Executive Board, and the Awards Committee, and distributes these to the Council, Executive Board, or Awards Committee respectively. The Secretary also maintains the official minutes of the Association, though copies are also provided to the Executive Office.
- All formal communication between the Abbasi Group and the Board of Directors is carried out through the Secretary.
